General Terms

Crowe Company is a supplier and service provider. Unless expressly agreed in writing, Crowe Company does not assume responsibility for interpreting project specifications, engineering requirements, structural design, or code compliance for a customer’s project. Customers are solely responsible for confirming that ordered products, requested services, and project plans comply with all applicable laws, building codes, regulations, and jobsite requirements.

Quotes are estimates only and are not binding contracts unless accepted by Crowe Company in writing. Unless otherwise stated in writing, quotes may be changed or withdrawn and should be treated as time-sensitive estimates rather than guaranteed pricing commitments.

All products, materials, and services are subject to availability, scheduling, and operational capacity. Crowe Company reserves the right to correct clerical errors, pricing mistakes, product descriptions, and similar inaccuracies at any time.

Orders and Customer Responsibilities

Products may be manufactured, assembled, reserved, or prepared based on customer-provided measurements, quantities, specifications, color selections, and other job details. Crowe Company is not responsible for customer measurement errors, incorrect specifications, misordered items, unsuitable product selection, or project compatibility issues resulting from information supplied by the customer.

Customers must review and confirm all order details before production, fulfillment, pickup, or delivery. Any requested changes after processing, scheduling, or production begins may result in delays, additional charges, or order rejection if changes are not reasonably possible.

If Crowe Company provides scheduling estimates, production timelines, or delivery windows, those timelines are estimates only and may change due to material shortages, weather, labor constraints, transportation issues, equipment failure, supplier delays, or other events beyond our reasonable control. Crowe Company is not liable for losses arising from those delays.

Payment Terms

Payment terms are determined by Crowe Company at the time of sale or account approval. Payment in full may be required before production begins, before materials are released, or before delivery is scheduled unless written credit terms have been approved.

Crowe Company may charge processing fees for certain payment methods where permitted by law. Returned checks, failed electronic payments, chargebacks, or disputed transactions may result in additional fees, suspended service, delayed delivery, or collection action.

Approved account balances must be paid according to the agreed account terms. Crowe Company reserves the right to assess late fees, interest, collection costs, and reasonable attorney’s fees to the extent allowed by law for unpaid balances.

Pickup, Delivery, and Risk of Loss

Products become the property and responsibility of the buyer upon pickup, delivery, or transfer from Crowe Company’s control, unless otherwise stated in writing. Customers are responsible for inspecting materials promptly upon receipt.

If delivery is offered, deliveries are made to the nearest safe and reasonably accessible location unless otherwise agreed in writing. Customers are responsible for ensuring safe, legal, and unobstructed access to the delivery site. If site conditions prevent safe delivery, Crowe Company may refuse delivery, reschedule delivery, or return materials, and additional charges may apply.

Crowe Company is not liable for damage to driveways, landscaping, structures, underground utilities, or other property conditions beyond the practical delivery area where access conditions create risk.

Returns, Cancellations, and Refunds

Custom-made, special-order, cut-to-size, fabricated, or non-stock items are non-cancelable and non-refundable once production, processing, or procurement has begun.

Returns of stock or standard items may be accepted only with prior written authorization from Crowe Company and may be subject to inspection, restocking fees, return deadlines, and the requirement that items be unused and in resalable condition.

No refunds will be issued for materials that have been used, installed, altered, damaged after delivery, or ordered incorrectly by the customer.

Warranties and Disclaimer

Crowe Company may supply products covered by manufacturer warranties where applicable. Any manufacturer warranty is subject to the manufacturer’s terms, limitations, exclusions, and approval process.

Except as expressly stated in writing, Crowe Company makes no warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law. Crowe Company does not guarantee performance resulting from improper installation, handling, storage, maintenance, misuse, or customer-provided specifications.

All products must be installed, handled, and maintained according to applicable manufacturer instructions, accepted industry standards, and local code requirements.

Limitation of Liability

Crowe Company is not responsible for damages arising from delays, customer errors, misuse, improper handling, improper storage, improper installation, third-party labor, or failure to follow manufacturer or project requirements.

To the fullest extent permitted by law, Crowe Company shall not be liable for any incidental, indirect, special, exemplary, punitive, or consequential damages, including lost profits, project delays, downtime, replacement labor, or loss of business opportunity.

Crowe Company’s maximum liability for any claim relating to a product, service, or transaction shall not exceed the amount actually paid to Crowe Company for the specific product or service giving rise to the claim.

Any claim relating to shortage, visible damage, or order discrepancy should be submitted in writing promptly after receipt of the product or completion of the service.

Safety

Certain products and materials may be heavy, sharp, hot, hazardous, or otherwise require proper handling and personal protective equipment. Customers and installers are responsible for using safe handling practices, proper tools, and qualified personnel where appropriate. Crowe Company is not liable for injuries resulting from mishandling, improper installation, unsafe jobsite conditions, or misuse.

Materials should be stored in a dry, secure, and appropriate environment until installation or use. Environmental exposure, improper storage, or delayed installation may affect product condition or appearance.

Communications Consent

By providing your contact information, including your phone number or email address, you consent to receive communications from Crowe Company related to quotes, orders, scheduling, delivery updates, invoices, account matters, customer service, and other business-related communications.

These communications may be sent by phone call, email, or text message where applicable. Consent to receive communications is not a condition of purchase, and you may opt out of text communications at any time by replying STOP if text messaging is used by Crowe Company.

All communications with Crowe Company may be monitored, retained, or documented for customer service, quality assurance, internal recordkeeping, or training purposes, subject to applicable law.

Website Use

All content on the Crowe Company website, including text, graphics, branding, logos, product information, and images, is owned by Crowe Company or used with permission and may not be copied, reproduced, republished, or distributed without prior written consent, except as permitted by law.

Users may not use the website in a way that could damage, disable, overburden, interfere with, or impair the website or interfere with any other party’s use of the website. Crowe Company may modify, suspend, or discontinue website content or functionality at any time without notice.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Any unpaid balance may be referred for collection, and the buyer agrees to pay collection costs, reasonable attorney’s fees, court costs, and applicable interest to the extent permitted by law.
